TOWNSHIP OF SOUTH FRONTENAC BY-LAW 2020-55 BEING A BY-LAW TO AUTHORIZE THE CHIEF ADMINISTRATIVE OFFICER TO EXECUTEAND AGREEMENTWITH THE WESTPORTTELEPHONE

COMPANY LIMITED (ALSO KNOWN AS WTC COMMUNICATIONS) FOR THE INSTALLATIONOF A 140 FOOT COMMUNICATIONSTOWERAT THE PERTH ROAD FIRE HALLAND ACCESS FOR CONNECTIONON THE TOWER AT THE BURRIDGE FIRE HALL FOR THE PROVISION OF HIGHSPEEDINTERNET.

WHEREAS the Municipal act authorizes municipalities to enter into agreements with various companies for use of its property;

ANDWHEREASthe Township of South Frontenac believes that entering into an agreement with WTC Communications to allow exclusive use of the Tower Site

located at 5855 Perth Road and to allow for co-location space an existing tower located at 237 Burridge Road will provide improved wireless service to WTC customers.

AND WHEREAS the Township of South Frontenac supports the improvement of wireless service to rural residents;

NOW THEREFORE THE CORPORATION OF THE TOWNSHIP OF SOUTH FRONTENAC, BY ITS COUNCIL, HEREBY ENACTS AS FOLLOWS:

That the Council of the Corporation of the Township of South Frontenac authorize the Chief Administrative Officer to execute the WTC Tower Site

Agreement with the Westport Telephone Company Limited (also known as WTC Communications)

That the signed Agreement is attached hereto as “ScheduleA”.

This by-law shall come into force and take effect on the date of its final passing. Dated at the Township of South Frontenac this 6 day of October, 2020. WTCis authorizedto cany onthebusiness ofprovidingwirelessservices to subscribersinurban andrural communities surroundmg thehereindescribedProperties.

WTCwislustoerecta communicationstower(the"Tower")onthepropertyofSFTat5855Perth

townshipofSouthFrontenao (fbe"Properties").

RoadandSFTwishesto leasetoWTCa TowerSite,hereinafternstermito asthe"TowerSite"as fiufher described and shown on (he Site Plan attached hereto as Schedule A.

WTCwishestoleaseco-locatioBspace(“Co-LocationSpace”)onfeeexistingSFTtoweTat237 BumdgeRoadin thetownshipofSouthFrontenacandconnectto SFTelecuicalserviceatthis location.

WTC and SFTare enteringinto this Tower SiteAgreement for the purposes of definingtheir respective rights, privileges and obligations concerning the Properties.

NOWTHEREFORE THISAGREEMENT WmWSSETH THAT inconsideration oftherent,premises, andmutual covenantsrefeiredtohereinthesufficiencythereofisherebyacknowledged, nowwitnessthat file parties hereto agree as follows: 1.

PURPOSE OF AGREEMENT

This agreement is to allow WTCflu exclusive use oftheTower Sitelocated at 5855 Pertfa Road to erect andmaintain a communications tower toprovide wireless servicea toits customers and/or other wireless service providera asWTCmay see fit.

OBLIGATIONS a.

WTCagreestoprovide SFT,if SFTsorequestsinwriting,a listofall officers, employees, agentsandassignsthatWTChasauthorizedtoattendattheProperties forthepurpose oferecting andmaintaining (heTower andCo-Location Space.

b.

SPTagreesnottodoanythingthatmayimpedeaccesstotheProperties. SETagrees notto do anything thatwouldinterfere withtheproper operation oftheToweror any WTCequipment attheCo-LocationSpace.

DTOEMNIFICATION a.

WTCshallindemnifyandsaveharmlessSFTfi-omanydamagecausedto the Properties causedbyWTC’suseofthesaidProperties aspemitted herein.

DSISURANCE a.

WTCshallhaveinplacea comprehemive property damageandpublicliability insurancepoUcyforcovera^rf’no lesstfaanTwoMiUionDollais($2,000,000.00). SuchinsuranceshallinsureWTCfixnnanyandall claimsmadebyfluidparties, for damageorpersonaliiyuryresulting6amWTC’suseofthesaidPropertiesoraccess (hereto,

SFTshallhaveinplace a comprehensive property damage andpublic liability insurancepolicyforcoverageofnolessthanTwoMillionDollars ($2, 000,000.00). Suchinsurance shallinsure SFTfiom anyandallclaimsmadebythirdpanics, for damageorpersonalinjuryresultingfromSFTsuseofthesaidMountainTowerOT access thereto.

SUCCESSORS AND ASSIGNS

a. ThisAgreement maybe transferred or assignedby either party without the prior written consentof{heotherpmty. ThisAgreementshalleauretothebenefitofandbebindingupon thepartiesheretoandtheirrespectivesuccessorsandassigns.

APPLICABLELAW

a. ThisAgreement shallbeinterpreted in accordancewiththelawsoftheProvinceof Ontario andthe laws ofCanada applicable therein. 14.

INTERPRETATION a.

SchedulesandotherdocumentsattachedorrefaredtointhisAgreementarean

integral part of(his Agreement.

ThedivisionofthisAgreementintoparagraphsandsubparagraphsanddie

insertion ofheadings areforconvenience orreference only sadshall not affectthe construction or mteipretation hereof.

LEGAL ADVICE AND EXPENSE
