WHEREAStheTownshipofSouth Frontenacwishesto purchase property forthe purpose ofacquiring lands for the purpose of developing public docking; ANDWHEREASthe Township of South Frontenac entered into discussions to purchase property from owners ofthe Holiday Country Manor Inc;

AND WHEREAS an agreement has been reached with Holiday Country Manor Inc. for the purchase of the property,

NOWTHEREFORE THE CORPORATION OF THE TOWNSHIP OF SOUTH FRONTENAC, BY ITS COUNCIL, HEREBY ENACTS AS FOLLOWS:

  1. That the Council ofthe Township of South Frontenac agrees to purchase lands described as Part Lot 1, Plan 34, being all ofthe PIN 36290-0191, District of Storrington, in accordancewith the terms and conditions in the attached purchase and sale agreement.

  2. Thatthe MayorandChiefAdministrative Officerareauthorized to signthe necessary documents to complete the transaction on behalf ofthe Township. Dated atthe Township ofSouth Frontenac this 20thdayofOctober, 2020. Read a first and second time this 20th day of October, 2020. Read a third time and finally passed this 20th day of October 2020.

specificaliyprovidedinthisAgreementandsaveandexceptfor(a)anyregisteredrestrictionsorcovenantsthatrunwiththelandprovidingthatsuch arecomplied with; (b| any registered municipal agreements and registered agreements with publicly regulated utilities providing such have been

compliedwith,orsecurityhasbeenpostedtoensurecomplianceandcompletion,asevidencedbya letterfromtherelevantmunicipalityorregulated utility;(c|anyminoreasamentsforthesupplyofdomesticutilityortelecommunicationservicestothepropertyoradjacentproperties;and(d]any easement, fordrainage,stormorsanitarysewers,publicutilitylines,telecommunication lines,cabletelevision linesorotherserviceswhichdonot materially affect the use of the properly. L4andtheElectronicRegistrationAct,S.O. 1991,Chapter44, andanyamendmentsthereto,theSellerandBuyeracknowledgeandagreethat theexchangeofclosinghinds,non-registrabledocumentsandotheritems(the’RequisiteDeliveries’)andthereleasethereoftotheSellerandBuyer will(a)notoccuratthesametimeastheregistrationofthetransfer/deed (andanyotherdocuments intendedtoberegisteredinconnectionwiththe completionofthistransaction)and(b)besubiecttoconditionswherebythelawyer|s]receivinganyoftheRequisiteDeliverieswillberequiredtohold same intrustand notrelease sameexcept in accordance withtheterms ofa document registration agreement between the saidlawyers. TheSeller

  1. INSPECTION:Buyeracknowledgeshavinghadtheopportunitytoinspectthepropertyandunderstandsthatuponacceptanceofthisoflerthereshall be a binding agreement of purchase and sale between Buyer and Seller.

  2. INSURANCE:All buildingsonthepropertyandallotherthingsbeingpurchasedshallbeandremainuntilcompletionattheriskofSeller.Pending

completion.Sellershallhoidall insurancepolicies,ifany,andtheproceedsthereofintrustforthepartiesastheirinterestsmayappearandinthe everit of substantial damage. Buyer may either terminate this Agreement and have all monies paid returned without interest or deduction or else

  1. DOCUMENTPREPARATION:TheTransler/Deed shall, saveforthelandTransferTaxAffidavit, beprepared in registrable form attheexpenseof

Seller,andanyCharge/MortgagetobegivenbackbytheBuyertoSellerattheexpenseoftheBuyer IfrequestedbyBuyer,Sellercovenantsthatthe Transfer/DeedtobedeliveredoncompletionshallcontainthestatementscontemplatedbySection50(22)ofthePlanningAct,R.S.0. 1990.

  1. RESIDENCT:(a)Subjedto(b)below,theSellerrepresentsandwarrantsthattheSellerisnotandoncompletionwillnolbea non-residentunderthe non-residencyprovisionsoftheIncomeTaxActwhichrepresentationandwarrantyshallsurviveandnotmergeuponthecompletionofthistransaction and the Seller shall deliver to the Buyer a statutory declaration that Seller is not then a non-resident of Canada;

|b) provided thatiftheSellerisa non-resident underthenon-residency provisionsofthe IncomeTaxAct, the Buyersh.all becredited towardsthe

PurchasePricewiththe amount, if any, necessary for Buyerto pay to the Ministerof National Revenue to satisfyBuyer’s liability in respectoftax

payable bySellerunderthenon-residency provisions oftheIncomeTaxActbyreason ofthissale. Buyershall notclaim suchcreditifSellerdelivers on completion the prescribed certificate.

  1. ADJUSTMENTS: Any rents, morlgoge interest, really taxes including local improvement rates and unmetered public or private utilitycharges and unmetered costoffuel, asapplicable, shall beapportioned andallowed to thedayofcompletion, thedayofcompletion itselfto beapportioned to Buyer.

  2. TIMELIMITS:TimeshallinallrespectsbeoftheessencehereofprovidedthatthetimefordoingorcompletingofanymaBerprovidedforhereinmay beextended or abridged byan agreement inwriting signed bySeller and Buyeror bytheir respective lawyerswhomaybe specifically authorized in that regard.

  3. PROPERFTASSESSMENT:TheBuyerand Seller herebyacknowledgethattheProvinceof Ontariohasimplementedcurrentvalueassessment

andpropertiesmaybere-assessedonanannualbasis.TheBuyerandSelleragreethatnoclaimwillbemadeagainsttheBuyerorSeller,orany Brokerage, BrokerorSalesperson, foranychangesinpropertytaxasa resultofa reossessment oftheproperty, saveandexceptanypropertytaxes that accrued prior to the completion of thistransaction.

21 . TENDER:Anytenderofdocuments ormoneyhereunder maybemadeuponSellerorBuyerortheirrespective lawyersonthedaysetforcompletion. Money shall betendered with funds drawnon a lawyer’s trustaccount inthe form ofa bankdraft, certified cheque orwiretransfer using the Large Value Transfer System.

  1. FAMILY LAWACT Sellerwarrants that spousal consent is not necessary to thish-ansaction underthe provisions ofthe Family LawAct, R. S.0. 1990 unlessthespouseoftheSellerhasexecutedtheconsenthereinafterprovided.
