TOWNSHIP OF SOUTH FRONTENAC BY-LAW 2021-77 BEING A BY-LAW TO AUTHORIZE THE MAYOR AND THE CLERK TO EXECUTE A MASTER SITE PLAN AGREEMENT BETWEEN THE CORPORATIONOF THE TOWNSHIPOF SOUTH FRONTENACAND 1324789
ONTARIO INC., MAGENTA WATERFRONT DEVELOPMENT CORPORATION, RATH, DONALDSON, LEE-DONALDSON, LACELLE, SIMPSON, BEUK, BERMAN, MCGROARTT, LEPAGE, MACDONALD, DOBING, HODGE, BLAIS, TAYLOR, ALLAIR:JOHNSTONPOINTVACANT LAND PLAN OF CONDOMINIUM
WHEREAS a Site Plan and Site Plan Agreement have been prepared to the satisfaction of the Township of South Frontenac; NOWTHEREFORE THE CORPORATION OF THE TOWNSHIP OF SOUTH FRONTENAC BY ITS COUNCIL, HEREBY ENACTS AS FOLLOWS: 1.
THAT the Mayor and the Clerk are hereby authorized to execute a Site
Plan Agreement between the Corporation ofthe Township of South Frontenac and 1324789 Ontario Inc., Magenta Waterfront Development Corporation, Rath, Donaldson, Lee-Donaldson, Lacelle, Simpson, Beuk, Berman, McGroarty, LePage, MacDonald, Dobing, Hodge, Blais, Taylor, Allair, a copy ofwhich is attached hereto forming part ofthis By-law/ 2.
THAT the Agreement shall be registered on title ofthe properties described Units 1 to 15, Level 1, Frontenac Vacant Land Condominium
Plan No. 85, and their appurtenant interests, being PINs36785-0001 to 36785-0015, both inclusive, District of Loughborough, Township of South Frontenac.
THIS By-law shall come into force and effect in accordance with Section
41 ofthe Planning Act 1990, either upon the date of passage or as otherwise provided by the said Section 41.

In this Agreement
The Owner covenants that the Owner is the Ownerin fee simple ofthe Owner’s Land.
The obligationsimposedbythisAgreementaffectthelanddescribedin
Schedule"A"heretoandanyrestrictive covenants expressedhereintunwith thelandandbindsuccessorsinddeto thesaidpropetty aswellasthe successors and assigns of the Owner.
- The Owner shall, at its sole risk and expense and to the satisfaction of the Municipality, develop the Owner’s Landsin accordancewith this Master Site
Plan Agieenaeat and the Master Site Plan attached to this Agreement as Schedule “B”, and shall construct, use, andmaintain those facilities and works
setoutintheMastetSitePlaninaccordancewiththeteims ofthisAgreement
The drawings listed in Schedules “B” and “C” are hereby incorporated by reference into thisAgreement. The originals ofthe Schedules are on filein the
officesoftheMunicipalityandshallgovernintheeventofanydispute. 4.
The following schedules are attached

- The Owner shall comply with any amendments, additions or deletions to the
MasterSitePlanthattheMumdpalitymayteasoaablyrequireafterthedateof
thisAgreement inoidetto better ensiuetheproper andorderiydevelopment ofthe Owner’s Landsand the construction ofthewotks andfacilities reauu by this Agreement.

whichgeneraUy conforms with this Master SitePlanAgreement, hasbeen entered into with the Municipality andregistered on title to the Unit.
- The OwnerfurtheracknowledgesandagreesthatthisMasterSitePlan Agreementshallgoverntheoveralldevelopment oftheOwner’sLandsand
thedevelopment ofanycommonelementstheteon. Nodevelopment shai occurontheOwner’sLandsthatisnotconsistentwiththisAgreementand
anyindividual SitePlanControl Agreement entered into for the development of a specific Unit.

10.The Owner agrees that it shall not apply for any building pennits for the development ofthe Owner’s Lands that isinconsistent with Ae Environmental
BeneHt Peanit PT-C-001-16 issued on Octobet 28, 2018, and all work
undertakenpursuanttothisMasterSitePlanAgreementshallbeinconfonnity therewith.
a. Owners are advised to consult a biologist in connection with their
proposed SitePlanApplication in accordance with the requirements of
the legisteied Condominium Agreement with the Township, the Condominium Declaration and the Benefit Pennit in order to demonstrate compliance with all requitements of the Environmental
Benefit Peimit
Theactual disturbed areacalculation, whichis limited by the terms of the Environmental Benefit Permit, shall be calculated based on the site plan filedby the Unit Owner.

beengivenbytheOwner01theMunicipalityastotheviabilityofanyUnitfor development orthefeasibilityofalternate plans. Alternate plans fora Unit
shallbeconsidered bytheTownship where’the Ownerdemonstrates"thatsuch
changesarereasonablynecessarytoaccommodate servicinganddevelopment
oftheLot, arein compliance withallappUcable laws andtegularions andthe documents listed in paragraph 15(a)-(c) of this Agreement. -The’Owner acknowledgesthatanyalternateplanforanyUnitwillrequireadditionalstudies toenabletheMmudpaHtytoconsidertherequest Allsuchrequestsandstudies shallbeattheOwner’s solecostandshallbesadsfactory to theMumcipalitvin
its sole disccedon.

Areain advance ofapproval for the individual Unit SitePlan. Ifa weUcannot
bereasonablylocatedoutsidethe40mTreeProtectionArea,theownerofthe

FC329989. In the event that thne is anyinconsistency between this
Agreement EnvironmentalBenefitPermitPT-C-001-16ottherequirements of the Condominium Agreement, the Ermummental Benefit Pemut PT-C-
001-16shallgovern, followedinorderofprioritybytheindividualSitePlan
Agreement fortheUnit, thisAgreement, andtheCondominium Agreement to the extent of anyinconsistency.
15.The Ownershallsubmitanapplication for siteplanapproval foreachUnitin advance ofany development. The siteplan application shallinclude sufficient
detailto enabletheMunidpaJityto deteanine thatthedevelopment and
setyi dng proposedv3l generally confonn to this Master Site Plan Agreement,
andin additionwillsatisfyalltequitements ofthe: a.
Environmental Benefit Peimit PT-C-001-16;
b. Condominium Agreement; and c.
Condominium Declaration.
Detailed review of all submissions will be undeitaken at the time of
submission for compliance with all requirements in the above tefuenced
documents. SubmissionsthatdonotcomplywUlberejectedandresubmission shall be requited.
16.TheOwneracknowledgesthatallinvestigationwithrespecttohydrolinesand restrictions imposed bybuffer zones arethe responsibility ofthe Unit Owner aspartoftheindividualsiteplanprocess.
17.TheOwneracknowledgesthatallservices,includingtheconsttucrion of
driveways,requireconsultation withtheTownshipPlanningDepattment prior
to submissionofthe siteplanapplicationfor theUnit. The Owner
acknowledgesandagreesthattheconstructionofanyproposeddockmust
comply with allrequirements imposed by the documents referenced in patagraph 15 (a) -(c) andthat aBrequirements ofsuchdocuments are deemed to be repeated hetein.
18.TheOwneracknowledgesthatthereshallbenoproposedchangestothe
docksconstructed asatthedateofthisAgreementxadshownontheMaster
SitePlan, apart &om the connection ofthe docks to the shoreline under the
supervision ofa qualifiedbiologistandinaccordancewithallthetequirements ofthedocuments Ustedinparagraph 15(a)-(c) ofthisAgreement, andno
changeinthelocationofsuchdocksshallbepemiitted.Theseprovisionsshall likewiseapplyto thedockconstmcted onUnit 10forthe shareduseofcemin
Unit Owners, and to any dock consttucted on the exclusive use common
elementportionoftheIsland(Block19). TheTownshipmaylequiie
certificationfromtheOwneroranOntarioLandSurveyorasto die dimensions ofany shared docks.
19.TheOwneracknowledgesthattheMunicipalityshallnotmaintainorrepair
andwinhavenoobligationtomaintainorrepairtheprivategravellane(rightof-way)thatpiovidesaccessthroughtheOwner’sLsuidsortoperfocnoi

curbsidewastedisposal services to anyUnit. Wastepickupwill beavailable at theTownship Roadina designatedgarbageandrecycling collection faciliues.
22.IntheeventthattheOwnerfailstoinstallormiiintain thefacilitiescoveredby thisAgreement, then,upontheChiefBuildingOfHcialordesignategiving sevendayswrittennodcebypre-paidregisteredmailto the Owner,die
Municipality, throughit’s employees, agentsorcontractors, may,without
furthernotice, enterupontheOwner’sLandsandproceed to supplyall
materials andto do allthenecessaryinspections andworksinconnectionwith
the fadliriesincludingtherepairorreconstruction offaultyworkandthe teplacement ofmaterials -whichatenotin accordance withplans 01 specifications andto charge the cost Aereof, together with the cost of
engineeringandanyother expensesincurred bytheMunicipality, againstthe

ofsaidfacilities notanassumption bytheMunicipality ofanyliability. Itis expressly agreed that the Owner or any person in possession shall not
question thecostincurred bytheMmudpality forbbour, materials orany other costs incidental to do the said work and this

to operate asan effective estoppel in judicial proceedings if such costs are
chaUengedorplacedinquestion. TheMunicipality mayperform anyofthe required services andcoBectthecostfortheenfoi-cement ofthisAgreement againstthesaidLandsfromthe security.
23.The Ownerherebyagreesto indemnifyandsaveharmless theMunicipality againstall actions, causesofaction, suits, claims, demands andcostswhatsoever
arising by reason of any matter under this Agreement, including without
limitation anyactions, causesofaction,suits,claims,demands01costsdirecdy
or inditecdy related to the construction, use, operation or maintenance ofthe
roadswithinthePlan,includingtheinabilityto operateanemergencyvehicle
properly or safelyin order to accessot exit anygivenunit duein whole or in
part to the condition ofthe loads or driveways within the Planatthe time.
24.Time shall be ofAc essence ofthisAgreement andofanyextension oftime that maybeagreedupon bythe pardes.
25.TheMunicipalitywillmakereasonable efforts withthenumber ofpersonnel
availabletoit toinspecttheworksand f.acilitiesto beconstructedinaccoidaace
withtheSitePlanDrawingsandthisAgreement, buttheOwnershallindemnify
and save hsumLess the Municipality, its servants, agents and conttactors &om
anyresponsibility or Uabffity arising ditecdy or indirectly from any faUuie ot delayin completing suchinspections.
26.TheOwnerherebygrantsto theMunicipality,its servantsandcontractors, a licence to entet the Owner’s Lands during normal operating hours for die Slu?ose °finsPectmB the works and faaliues and

fomortheresultofanydefaultbytheOwnerunderthisAgreement.
27.It is the intent of this Agreement that the Municipality shall not incur any expense forthedevelopment oftheOwner’sLandsandeveryobUgadonofthe
Owner under this Agreement shall be deemed to include the words “at the expense ofthe Owner”, unless spedficaUy stated otheiwise.

29.Allinvoices,costsandexpensesKceivedorincuiredbytheMunicipalityand payablebytheOwnershallbepaidwithinthirty(30)daysoftheMunicipality’s
invoice01demandforpaymenttotheOwner,failingwhichtheOwnershallbe
in defaultundetthisagreementandshaUcontinueindefaultuntilpaymentplus all accrued interest is made in full.
30.InterestshallbepaidbytheOwneronalloverdueamountsatthesametateper
annum and calculated in the same manner as the Municipality charges on overduemunicipaltaxesandanypaymentsreceivedshallbeappliedfirst on
accountofaccumulatedinterestandthenontheoutstandingamount.
31.The Owner consents to the registration by the Municipality at the Owner’s
expense of this Agreement against the dtle to the Owner’s Lands and, in
accotdancewiths. 41(10) ofthePlanningAct, all ofthe turns andconditions
of this Agreement may be enfotced against the Owner and any and dU subsequent owners of the Owner’s Lands.
32.TheOwnershallensurethattheicquirementsofthisAgteementandtheSite
an_Drawlngsuebl’ought.to Aeattentionofitscontractors,employeesand
workers prior to the statt ofanyconstruction.
33.AUcovenants in thisAgreement shallbeconstrued asbeingjoint andseveral andthat^whenthecontextsorequiresorpennits,thesingularnumbershaUbe readasifthepluadwereexpressed, andthemasculine genderasifthefemuune orneutergender,asthecasemaybe,wereexpressed.
34.TheOwnercovenants andagreesthatnothingin thisAgteement releases the
fromtheobligationtocomplywiththeprovisionsofaUotherby-laws
oftheMunicipality that maynoworin future bein effect.
35.Anydisputebetweenthepaideswithrespectto thisAgreementshall,atthe request ofa party, be submitted to arbitration putsuant to theArbitrations Act andAc decision ofthearbitrator or,ifmore thanone,thedecision~of amaioat final andbindingon the parttes.
36.Eachpartyshallpayits owncosts ofthearbitration andshallshareequally the costs ofthe arbitrators).
